Nonprofit Compliance with the Texas Business Organizations Code

Stack of binders with magnifying glassA couple of weeks ago I had the privilege of speaking to a group nonprofit leaders during a lunch and learn presentation sponsored by the Nonprofit Management Center of the Permian Basin in Midland, Texas.  I spoke on the structure of the primary statutory law governing nonprofit corporations in the State of Texas (the Texas Business Organizations Code) as well as compliance with that law.  My presentation slides are available here.

This seminar article was originally written in 2004 and delivered at the State Bar of Texas Course: Representing Nonprofit Organizations. It was substantially revised following the IRS revisions to Form 1023 in 2006. The most recent revisions are from May 2011 where the paper was delivered at the Tarrant County Bar Association All-Star CLE.

A Note on Papers and Presentations

The papers and presentations section of this site is a repository for various seminar materials I have put together and presented.  Where the materials have been created with the co-labor of others at my firm or colleagues outside of my firm, I have endeavored to note that.  The materials here are not a complete set of all papers and presentations on my CV, but I have attempted to collect those from previous years that I think have the most ongoing value and will update this site as new papers are presented.

And now a few disclaimers. This material is not intended nor should it be used as a substitute for legal advice or opinion. The materials in the papers and presentations have been compiled in good faith; however, no representation is made as to the completeness or accuracy of the information it contains. In particular, you should be aware that this information may be incomplete, may contain errors or may have become out of date.  I make no commitment, and disclaim any duty, to update this material.  If you have questions about the currentness (if that isn’t a word, it should be), you should seek to verify it.
