Nonprofit Compliance with the Texas Business Organizations Code

Stack of binders with magnifying glassA couple of weeks ago I had the privilege of speaking to a group nonprofit leaders during a lunch and learn presentation sponsored by the Nonprofit Management Center of the Permian Basin in Midland, Texas.  I spoke on the structure of the primary statutory law governing nonprofit corporations in the State of Texas (the Texas Business Organizations Code) as well as compliance with that law.  My presentation slides are available here.

This seminar presentation covers governance issues affecting nonprofit organizations exploring best practices, issues common to all nonprofit organizations, and explaining the governance dictates behind various questions on the Form 990.  The drafting of the paper was a joint effort of the members of Bourland, Wall & Wenzel, P.C.’s Exempt Organizations Section.

This seminar paper is a primer on private foundations offering background on the distinctions between private foundations and public charities and exploring the various prohibited transactions of private foundations, as well as other issues that make private foundations unique.

This paper was presented at the 30th Annual Nonprofit Organizations Institute sponsored by the University of Texas School of Law CLE and the Conference of Southwest Foundations.  My co-presenter, Amanda Adams of Blazek & Vetterling, is largely responsible for the great material in this paper.
